Job Summary

The Director of Contracts is responsible for the oversight, negotiation, review, development, tracking, analysis, and overall contracting process for the organization for all contract agreements to include managed care, leases, MOUs, and purchased services/products.

Essential Duties and Responsibilities

  • Oversees the preparation of contractual provisions and the administration of contract proposals, including inclusion of required contract language and attachments, ensuring review by all required parties, facilitating the signature process, and ensuring all contracts are fully executed.

  • Responsible for preparing agreements, and working with internal process owners a swell as suppliers, partners and customers to negotiate the specific terms.

  • Identifies contractual gaps and ensure contracts are developed and implemented to fill the gaps.

  • Ensures that business activities are aligned with stated plans among different stakeholders and includes stakeholders as appropriate in the contracting process. Works with appropriate organization stakeholders to incorporate necessary language into contracts to support implementation and works collaboratively with department leadership in the successful negotiation of contract components.

  • Demonstrates a solid understanding of legal terminology, contracting requirements, and financial analyses. Evaluates contract language for operational readiness and legal impact, recommends contract verbiage and rate changes, and produces redline versions of contracts as needed for negotiation.

  • Serves as liaison to organization’s departments/centers impacted by contractual arrangements. Communicates and coordinates with outside counsel on legal matters.

  • Develops data-driven analyses to optimize resources and ensure that business plans can be translated into financial value.

  • Responsible to ensure all contracts and agreements are in accordance with Federal, State, and Local laws and regulations. Actively engages in contract performance management and documentation as required under 45 CFR 75 and other federal regulations. Ensures all contracts have verbiage that meets the requirements of 45 CFR 75 and other regulations.

  • Advises, reviews, and opines on all actions that obligate the company and provides an approval for prime contracts, subcontracts, and binding contractual documents.

  • Stays current on contract changes and proactively updates staff and other departments on Peak Vista of changes.

  • Applies organizational standards when developing requests for proposals, and drafting contracts. Recommends changes to contract agreements based on trends in Peak Vista data.

  • Responsible for organizing and oversight of contract approval flow in the organization’s contract database. Actively monitors and manages contract flow by tracking organizational agreements with partners, vendors, and payers, maintaining an electronic inventory. Evaluates, audits and maintains existing agreements to include all aspects of contract and file management.

  • Maintains a high level of confidentiality regarding organizational, personnel, and executive activities.

  • Utilizes and interprets financial models and analyses.

  • Participates in the annual budgeting process and provides accurate figures for all assigned contracts for the upcoming fiscal year. Monitors contract expense on a monthly basis and reports on same.

  • Develops and maintains good working relationships with all departments, the management team, medical staff, and leadership.

Qualifications

Education: Bachelor’s Degree in General Business, Accounting, Finance, Economics, or closely related field required.

Work Experience: 3 years of progressive experience in contract negotiation, paralegal, finance or closely related field with a minimum 2 years management experience required.

Certificates and Licenses: Prefer Certification in Contracts Management

Computer Skills:

Intermediate ability to access the intra/internet to manage timecard, review policies and procedures, and read company communications; use e-mail to communicate with co-workers, leadership, and other departments; use and create a variety of templates, complex tables, merges; manage table data, sort and filter merges, and also perform basic work with existing Macros; customize toolbars, import and insert graphs, embed Excel data, and elaborate reports; work with multiple worksheets, filter data, use integrate functions, and manipulate databases; customize templates and the PowerPoint environment, and to make a presentation interactive by using hyperlinks and action buttons
